CONTRACT AGREEMENT
This Contract Agreement (the “Agreement”) is entered into on [Date] by and between Ennoble Staffing SA de CV (the “Company”), located at [Address], and [Client Name], located at [Address] (the “Client”).
Scope of Work: The Company shall provide web design services (the “Services”) to the Client as outlined in the attached project proposal (the “Proposal”). The Company shall use commercially reasonable efforts to complete the Services in a timely and professional manner.
Deposit Payment: The Client agrees to pay a deposit of [Amount] (the “Deposit Payment”) upon execution of this Agreement. The Deposit Payment shall be applied towards the total cost of the Services as outlined in the Proposal. The Deposit Payment is non-refundable and shall not be returned to the Client under any circumstances.
Payment Terms: The Client shall pay the remaining balance of the total cost of the Services upon completion of the Services. The Company shall invoice the Client for the remaining balance upon completion of the Services. All payments shall be made in US Dollars.
Intellectual Property: The Company shall retain all rights, title, and interest in and to any intellectual property created or developed by the Company in connection with the Services, including but not limited to any design concepts, software, code, or other materials. The Client shall have a non-exclusive license to use any intellectual property created or developed by the Company in connection with the Services solely for the purpose of the Client’s website.
Confidentiality: The Company shall not disclose any confidential information provided by the Client to any third party without the Client’s prior written consent. Termination: Either party may terminate this Agreement at any time upon written notice to the other party. In the event of termination, the Company shall retain all rights to the intellectual property created or developed in connection with the Services, and the Client shall pay the Company for any work completed up to the date of termination.
Warranties: The Company warrants that it has the necessary expertise and resources to perform the Services in a professional and timely manner. The Client warrants that it has the legal right to use any materials provided to the Company for use in connection with the Services.
Limitation of Liability: In no event shall the Company be liable to the Client for any indirect, special, incidental, consequential, or punitive damages arising out of or relating to this Agreement or the Services, whether or not the Company has been advised of the possibility of such damages. The total liability of the Company to the Client for any and all claims arising out of or relating to this Agreement or the Services shall not exceed the total amount paid by the Client to the Company for the Services.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [State/Country]. Any legal action or proceeding arising out of or relating to this Agreement or the Services shall be brought in the courts of [State/Country].
Entire Agreement: This Agreement constitutes the entire agreement between the Company and the Client with respect to the Services, and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between the Company and the Client. This Agreement may not be amended or modified except in writing signed by both parties.
